1. Who We Are

"We", "our", or "Company" in these Terms means Albedo Technologies S.R.L., operator of iusevimbtw.com.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("you" or "User") and Albedo Technologies S.R.L. ("Company," "we," "us," or "our"). By signing up for an account, purchasing a subscription, or otherwise using any service provided by iusevimbtw.com (collectively, the "Service"), you acknowledge that you have read, understood, and agree to comply with these Terms and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Eligibility

• Minimum Age: You must be 16 years of age or older to use our Service.
• Legal Capacity: You must also have the legal capacity to enter into a contract. If you are between 16 and the age of legal majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
• Location Compliance: You are responsible for compliance with all laws applicable to you, including any email, marketing, privacy, and anti-spam laws in your jurisdiction.
• Entity Use: If you use the Service on behalf of a company or other entity, you affirm that you have authority to bind that entity, and that entity accepts these Terms.

4. Account Registration and Security

• Account Creation: To access our subscription services, you must create an account using a valid email address. We collect only your email address (plus password credential) for account purposes; no other personal data is required to create an account.
• Credentials: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at contact@iusevimbtw.com of any unauthorized use or security breach.
• Mailbox Passwords and Encryption Keys: For full inbox email addresses, your mailbox password (or equivalent secret) is used to derive encryption keys that protect your email content at rest. We do not store these keys in a form that allows us to decrypt your encrypted mailbox. If you lose your mailbox password and cannot recover it, we may help you reset access, but email messages encrypted with the old key will generally be permanently unreadable.
• Single Account Rule: One account per individual or entity unless expressly permitted by us.
• Accurate Information: You agree to provide accurate information and keep it up to date, especially your contact email and billing details.

5. Description of Services

We provide subscription‑based services focused on personalized subdomains and email. Each service may require a separate subscription.

5.1 Personalized Subdomain Service

• Register a custom subdomain NAME.iusevimbtw.com (subject to availability).
• Configure the subdomain as one of the following:
  • a. Links Page – a hosted profile page generated through our dashboard using our page builder. The default option is a links page; only links and simple page elements are supported by default.
  • b. 302 Redirect – forward visitors to an external URL you specify (must comply with Section 7).
  • c. Custom HTML (by request only) – at your request, we may agree to host a static HTML page you provide on your subdomain. You understand that:
    • we may review custom HTML for technical and policy reasons before publishing;
    • we may refuse, request changes to, or remove custom HTML at any time if we believe it is insecure, inappropriate, or non‑compliant with these Terms;
    • you are solely responsible for the content of any HTML you provide, and for ensuring that it complies with applicable law.
• DNS Records: At our sole discretion, we may provide DNS records (for example CNAME, A, or other records) for your subdomain so that you can host content on your own infrastructure. We may modify or remove such DNS records at any time, particularly if we believe that the content hosted behind the subdomain is insecure, illegal, or otherwise violates these Terms.
• Subdomains remain Company property; you receive a limited right of use during an active subscription.

5.2 Email Service (Forwarding, Inbox & Sending)

• Register an email address NAME@iusevimbtw.com (subject to availability and compliance with these Terms).
• You can configure each address as:
  • a. Forwarding‑only – incoming email is automatically forwarded to an external mailbox you designate.
  • b. Inbox – incoming email is delivered to a full mailbox hosted by us, which you can access using compatible email clients and/or any interfaces we make available.
  • c. Combined – in some cases, both forwarding and inbox storage may be enabled.
• Outgoing email sending is available for supported addresses via our SMTP or other interfaces we provide. All sending is subject to technical limits, anti‑spam controls, and these Terms.
• We may use automated systems and third‑party email infrastructure to process and deliver messages. We do not promise that every message will be successfully delivered or accepted by the receiving mail provider.
• Email service is not a backup service. You are responsible for keeping your own copies of any important email content (for example, by exporting or storing messages in your own clients or systems).

5.3 Anti‑Spam and Rate Limiting

• We operate technical and procedural controls to reduce spam and abuse on the Service. These controls may include rejecting, delaying, or silently dropping certain messages and limiting the rate at which emails can be sent from an address or account.
• Our outbound anti‑spam and rate‑limiting systems focus on usage patterns (for example, number of messages, recipients, or sending frequency) and do not rely on us manually reading your email content. However, inbound filtering and security tools may automatically analyze message characteristics for spam and security purposes.
• If we reasonably believe that an address or account is being used to send spam or other abusive traffic, we may temporarily or permanently block outgoing email, apply stricter limits, or suspend or terminate the relevant account or service.
• You are solely responsible for ensuring that your use of the email Service complies with all applicable laws and regulations (including, where applicable, CAN‑SPAM, ePrivacy rules, and other marketing and anti‑spam laws).

5.4 Email Encryption and Data Access

• We encrypt inbound and outbound email content that we store (for example, in your inbox or in temporary delivery queues) at rest using encryption keys derived from secrets associated with your mailbox.
• We do not maintain a separate copy of your mailbox encryption keys that would allow our staff to routinely decrypt your email content at rest. The only place where email content is handled in unencrypted form inside our infrastructure is during normal transport and delivery via our mail transfer systems. Those systems are configured not to log full message bodies.
• Because of this design, if you permanently lose access to your mailbox password or equivalent secret and cannot recover it, we may be unable to restore access to email content that was previously encrypted with the old key. New messages delivered after a password reset may be accessible, but older encrypted messages may remain unreadable.
• While we take reasonable technical and organizational measures to protect your data, no system can be guaranteed perfectly secure. These Terms do not create a guarantee of absolute security, nor do they limit any additional disclosures in our Privacy Policy.

5.5 Reserved Wait‑List Names

If you joined our pre‑launch wait‑list and provided a specific NAME, that exact NAME.iusevimbtw.com and/or NAME@iusevimbtw.com (the "Reserved Name") is permanently reserved for you.

• Exclusivity: No other user may claim that Reserved Name, even if you cancel or never activate it.
• Re‑activation: You may activate or re‑activate the Reserved Name later, paying the then‑applicable wait‑list price (see Section 6.1).
• Scope: Each wait‑list entry reserves one name. Additional names fall under standard pricing.

6. Subscription Plans and Payment Terms

6.1 Pricing (annual; VAT exclusive)

• Prices are locked‑in for your Reserved Name until we announce changes; we will give at least 30 days' notice before increasing wait‑list renewal prices.
• You may hold multiple subscriptions. Reserved Name discount/free price applies only to that singular name; any additional subdomain or email costs the Standard price.

6.2 Taxes (VAT)

All prices are shown exclusive of Romanian VAT (currently 19 %). VAT is added at checkout for EU consumers. EU business customers may supply a valid VAT ID to apply reverse‑charge rules. Customers outside the EU are responsible for any sales or use taxes required in their jurisdiction.

6.3 Billing and Payment

• Annual Billing Only: Subscriptions are billed yearly in advance and renew automatically.
• Payment Processor: Stripe Checkout processes all payments; we never store full card data.
• Auto‑Renewal: You authorize us to charge your payment method at each renewal. We will provide advance email notice of upcoming renewals and any price changes.
• Failed Payments: If a renewal payment fails, we will notify you and retry; unresolved failures may lead to suspension or termination.
• No Refunds: All payments are non‑refundable. Service remains active until the end of the paid term.
• Cancellation: Cancel anytime via your dashboard; the subscription stops renewing at period end. Canceling one service (e.g., subdomain) does not cancel others (e.g., email).

7. Acceptable Use and Content Restrictions

You agree not to use subdomains, DNS records, or email (including any forwarding, inbox, or sending capabilities) for any of the following prohibited content or activities:

• Illegal activities or promotion thereof.
• Pornographic or sexually explicit material, or services that primarily trade in such content.
• Gambling, illicit drugs, or weapons sales.
• Hate speech, harassment, or defamation.
• Intellectual‑property infringement.
• Malware, phishing, or other security threats.
• Sending unsolicited or bulk commercial email, or any other form of spam, without proper consent and legal basis.
• Misleading impersonation of individuals or entities, including misleading use of a name or subdomain that suggests affiliation where none exists.
• Using the Service primarily as generic email infrastructure for third parties, reselling accounts without our consent, or attempting to bypass our technical limits or anti‑abuse systems.
• Hosting or redirecting to content that would itself violate these Terms, even if that content is not hosted on our servers.

We may remove content, disable redirects or DNS records, block email sending or delivery, or suspend/terminate accounts that violate these rules or that we reasonably suspect to be abusive.

We do not undertake to monitor all content or activity on the Service, but we reserve the right to review and act on any content or behavior we become aware of.

8. User Content and Intellectual Property

• Your Content: You retain ownership of content on your links page, any custom HTML you provide, and email content associated with your addresses. You grant us a limited, worldwide, non‑exclusive licence to host, process, and transmit such content solely to operate, maintain, and improve the Service.
• Our IP: All software, trademarks, logos, templates, and visual designs are owned by the Company or its licensors; you receive a limited right to use them during an active subscription.
• Feedback: Suggestions or feedback you provide may be used by us in any manner without obligation to you.

9. Termination and Suspension

• By You: Cancel anytime; service continues until end of the current term.
• By Us: We may suspend or terminate your access to all or part of the Service (including specific addresses or subdomains) for violations of these Terms, non‑payment, suspected abuse, or where required by law or court order.
• Effect of Termination: Subdomains, DNS records, and email addresses may cease functioning. Reserved Names remain blocked from other users, but you must pay the applicable wait‑list price to reactivate them.
• No Refunds: Payments already made are non‑refundable except where we terminate the Service in its entirety without cause.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be uninterrupted, secure, or free from errors, nor that emails will always be successfully delivered or received.

11. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the total amount you paid us in the 12 months preceding the claim (or €0 if none). We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

12. Indemnification

You will indemnify and hold harmless Albedo Technologies S.R.L. and its affiliates and personnel from any third‑party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or applicable law.

13. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, for any reason, including the introduction of new features or the retirement of existing ones. If we discontinue the Service in its entirety, we will give reasonable notice and may provide pro‑rata refunds for prepaid, unused periods, where required by law or where we choose to do so.

We may also introduce new limits on usage (such as email sending limits, storage limits, or API limits) or modify existing limits in order to protect the Service and its users.

14. Changes to these Terms

We may revise these Terms from time to time. Unless a shorter period is required by law, we will provide at least 30 days' notice before material changes take effect, for example by email or by displaying a notice in your dashboard.

Continuing to use the Service after new Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscriptions and stop using the Service before the updated Terms apply.

15. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by Romanian law, without regard to its conflict of law rules, and subject to any mandatory consumer protections that apply in your country of residence.
• Jurisdiction: Exclusive jurisdiction lies with the competent courts of Braşov, Romania, unless mandatory EU consumer venue rules apply.
• Informal Resolution: Before filing any formal claim, you agree to first contact us at contact@iusevimbtw.com and attempt to resolve the dispute informally.
• No Class Actions: To the extent permitted by law, you may only bring claims against us on an individual basis and not as a plaintiff or class member in any purported class or representative action.

16. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Service, and supersede any prior or contemporaneous agreements or communications. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms or your account without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

Force Majeure: We are not liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, war, acts of terrorism, civil disturbances, strikes, internet or telecommunications failures, or acts of government.
